EZ-Play is supplied free of charge by MOvid Medienproduktion GmbH. Please read these terms before installing it.
1. Scope and parties
This End User Licence Agreement (the “Agreement”) is concluded between you (the “User”) and MOvid Medienproduktion GmbH, Kirchenstr. 6, 24245 Kirchbarkau, Deutschland, represented by its managing director Tim Boehme (the “Licensor”).
It governs the use of the software EZ-Play (the “Software”), including all files supplied with it and any updates the Licensor may provide.
The Software is supplied FREE OF CHARGE. No payment is due, and none will be requested.
2. Licence granted
The Licensor grants the User a non-exclusive, worldwide, royalty-free licence to install and use the Software on any number of computers the User owns or controls, for private or commercial purposes alike.
The licence is granted for an unlimited period. It ends only if the User materially breaches this Agreement and fails to remedy the breach within a reasonable period after being asked to do so in writing.
The User may pass the Software on unchanged and free of charge, provided this Agreement is passed on with it. The User may not sell it, rent it out, or make it part of a paid offering without the Licensor’s written consent.
3. Restrictions
The User may not modify, decompile, disassemble or reverse engineer the Software, except where and to the extent that mandatory law expressly permits it — in Germany in particular §§ 69d and 69e UrhG, which this Agreement does not restrict.
The User may not remove or alter copyright notices, licence texts or version information contained in the Software.
4. International use, export control
Mandatory consumer rights under the law of the User’s country of residence apply regardless of the terms of this Agreement.
The Software is subject to European and United States export regulations. The User undertakes not to use, export or re-export it in or into embargoed territories, nor to make it available to persons or entities named on applicable restricted-party lists.
5. What the Software does — and what it does not
EZ-Play plays and screens footage and can create rendered copies of clips that macOS cannot decode on its own.
A rendered copy is a NEW ENCODING, not the original. Encoding is a lossy process: picture and sound of a rendered copy differ from the source material. Rendered copies are intended for screening and for offline editing. They are not a substitute for the camera original, and they are not a backup.
Timecode, frame rates and metadata are read from the material and from the operating system.
Where a file carries no such information, or carries it incorrectly, the Software cannot supply it.
Values shown are only as reliable as the material they come from.
The Software neither deletes nor moves the User’s source material. Rendered copies are written to a folder chosen by the User and remain there until the User removes them.
6. Important workflow precautions
Keep the camera originals. A rendered copy is a working copy, and no working copy replaces the material it came from.
Where timecode matters — for conforming, for delivery, for a broadcaster’s specification — verify it against the camera original or against your editing system before you rely on it.
These precautions are good practice. They do not limit the Licensor’s liability for defects of the Software under section 9.
7. Data protection
The Software runs locally. It does not transmit the User’s footage, file names or working data to the Licensor or to any third party.
On start-up the Software may retrieve a page from the Licensor’s web server in order to display information about other products. This request transmits nothing beyond what any web request necessarily contains, and it is not used to identify the User. If the server cannot be reached, the Software continues without it.
Settings are stored locally in the User’s Library folder.
8. Third-party components
The Software is supplied together with unmodified copies of ffmpeg and ffprobe, which are licensed under the GNU Lesser General Public License, version 2.1 or later. They are separate executable programs; the Software calls them as external processes and does not link against them.
The full licence text is included with the Software. The corresponding source code is available from ffmpeg.org and, on request, from the Licensor at support@movid.com.
Nothing in this Agreement restricts the rights granted to the User by the GNU Lesser General Public License in respect of those components.
9. Warranty and liability
The Software is supplied free of charge. Under German law, the liability of a party who gives something away is limited accordingly (§§ 521, 524 BGB). The Licensor is liable for intent and gross negligence.
Liability remains unlimited in cases of injury to life, body or health, and under the German Product Liability Act (Produkthaftungsgesetz), where those provisions apply.
Beyond that, and to the extent permitted by law, the Licensor is not liable for loss of profit, production downtime, the cost of reshoots, or other indirect or consequential loss.
The above limitations apply equally to the personal liability of the Licensor’s representatives, employees and agents.
The Software is provided “as is”. The Licensor does not warrant that it is free of errors or that it will run without interruption on every system.
10. Term and termination
This Agreement runs for an unlimited period.
The Licensor may terminate it for cause if the User materially breaches it and does not remedy the breach within a reasonable period after being asked to do so in writing. On termination the User shall stop using the Software and remove all copies.
The User may end this Agreement at any time by removing the Software.
11. Final provisions
This Agreement is governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.
Where the User is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is the registered seat of MOvid Medienproduktion GmbH. Consumers retain the place of jurisdiction available to them by law.
Should any provision of this Agreement be or become invalid, the validity of the remaining provisions is not affected.
