Terms of Service

Version 1.1 · 5 October 2026

1. Scope

(1) These Terms of Service ("Terms") govern the use of the website toolsforfilm.movid.com (the "Website"). The Website is operated by MOvid Medienproduktion GmbH, Kirchenstr. 6, 24245 Kirchbarkau, Germany ("MOvid", "we", "us"). Company details are listed in the legal notice.

(2) These Terms cover the Website only: its content, its availability and the provision of downloads. They do not govern the use of our software. The use of each program, including the licence, warranty and liability for that program, is governed exclusively by the End User Licence Agreement ("EULA") of that program (Section 2).

(3) Mandatory statutory rights, in particular mandatory consumer rights, remain unaffected by these Terms.

2. Software and licences

(1) All software offered on the Website (EZ-Play, Offload Wrangler, LogIT and Timecode Juggler) is developed and published by MOvid. The Website is the official source of these programs.

(2) Each program is licensed under its own EULA. The applicable EULA is linked next to every download and purchase button on the Website, so that it can be read before a program is downloaded or bought, and it is included in the download package.

(3) Licensing terms, warranty and liability for a program are set out in its EULA and not in these Terms. Where these Terms and an EULA differ in relation to a program, the EULA prevails.

3. Free downloads

(1) EZ-Play is free of charge. It is downloaded directly from the Website, without registration, without an account and without payment details.

(2) The EZ-Play disk image contains the EZ-Play application, its user manual and its EULA, together with a shortcut to the Applications folder. It contains no installer, no unrelated software and no third-party offers. Open-source components included in the application are named in its EULA. On start-up EZ-Play may display a page from our own server with information about our other programs; this is described in the EULA and in the Privacy Notice.

(3) The programs are signed with our Apple Developer ID (Team ID UE57342G2M) and notarised by Apple.

(4) Trial versions of the paid programs are obtained through our store (Section 4). The conditions of each trial are stated on the product page and in the program's EULA.

4. Purchases

(1) Licences for the paid programs are sold through the online store operated by Lemon Squeezy, LLC ("Lemon Squeezy"). Lemon Squeezy acts as reseller and merchant of record: it is the seller in the purchase, processes the payment and issues the invoice under its own terms, which are shown in the checkout.

(2) The licence to use a purchased program is granted by MOvid under the EULA of that program.

(3) These Terms do not restrict statutory rights of withdrawal or statutory rights in case of defects.

5. Use of the Website

(1) You may use the Website and its content for your own information and to obtain our software.

(2) You may not use the Website in a way that impairs its operation, attempt to gain unauthorised access to it, or redistribute its content as your own.

(3) Product names, logos, texts, images and videos on the Website remain the property of MOvid or of the respective rights holders.

6. Content and availability

(1) We describe our software as accurately as we can. Descriptions, screenshots and videos may show earlier versions.

(2) We may change, interrupt or discontinue the Website or individual downloads. There is no entitlement to the permanent availability of the Website.

(3) Paragraph 2 does not affect contracts already concluded, licences already granted or mandatory statutory rights. In particular, discontinuing the Website or a download does not end a licence that has been granted, and it does not release us from obligations we have under a contract or by law.

(4) Links to third-party websites (for example YouTube or the store) lead to content we do not control. The respective provider is responsible for that content.

7. Liability for the Website

(1) We are liable without limitation for intent and gross negligence, for injury to life, body or health, under the German Product Liability Act, for guarantees we have expressly given, and wherever liability cannot be excluded or limited by law.

(2) In cases of ordinary (slight) negligence we are liable only for the breach of an essential contractual obligation. An essential contractual obligation is one whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the user may regularly rely. In these cases our liability is limited to the foreseeable damage typical of the contract.

(3) Beyond paragraphs 1 and 2, liability for ordinary negligence is excluded to the extent permitted by law.

(4) The limitations in paragraphs 2 and 3 also apply in favour of our legal representatives, employees and other persons we use to perform our obligations.

(5) This Section applies to the use of the Website. Liability in connection with the use of a program is governed by that program's EULA.

8. Privacy

Information on how personal data is processed when you use the Website, contact us, or use our programs is given in our Privacy Notice.

9. Changes to these Terms

(1) We may revise these Terms. The version number and date at the top of the page show which version is current. Earlier versions are available on request.

(2) A revised version applies to the use of the Website from its publication. Publishing revised Terms does not by itself amend licences already granted or contracts already concluded; those continue under the terms agreed, unless a change is agreed with you or permitted by law.

10. Governing law and jurisdiction

(1) These Terms are governed by the law of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) If you are a consumer, this choice of law does not deprive you of the protection of mandatory provisions of the law of the country in which you have your habitual residence.

(3) If you are a merchant within the meaning of the German Commercial Code (Kaufmann im Sinne des Handelsgesetzbuchs), a legal entity under public law or a special fund under public law, the courts competent for MOvid's registered office have exclusive jurisdiction over all disputes arising from or in connection with these Terms, insofar as this is legally permissible. This paragraph does not apply to consumers. Mandatory statutory places of jurisdiction remain unaffected.
